Welcome to Beehive Meals. These Terms of Service (“Terms”) govern your access to and use of the Beehive Meals website, located at beehivemeals.com (the “Site”), and your purchase or use of products and services offered by Beehive Meals Family, LLC, a Utah limited liability company (“Beehive Meals,” “Beehive,” “we,” “us,” or “our”).
By accessing or using the Site, creating an account, placing an order, purchasing a subscription, or otherwise purchasing products from us, you agree to these Terms, our Privacy Policy, and any other policies or terms referenced in these Terms.
If you do not agree to these Terms, please do not use the Site or purchase our products.
1. Eligibility and Use of the Site
You must be legally capable of entering into a binding agreement to use the Site or purchase products from us. The Site and our products are intended for adults age 18 and older.
You agree to use the Site only for lawful purposes and in accordance with these Terms.
You may not use the Site to:

Infringe the rights of Beehive Meals or another person

Interfere with the operation or security of the Site

Attempt to gain unauthorized access to accounts, systems, or data

Introduce malicious code or other harmful technology

Engage in fraudulent, abusive, or deceptive activity
We reserve the right to refuse service, restrict access, or terminate accounts or orders when we reasonably believe these Terms or applicable law have been violated.
2. Our Products
Beehive Meals offers frozen meal products and related products and services, including meal prep products, freezer meals, flat top meals, gift boxes, holiday products, gift cards, subscriptions, and other products that may be offered through the Site.
Product availability, menus, ingredients, serving sizes, pricing, and other product details may change from time to time.
Ingredient, allergen, and nutrition information is printed on the packaging included with your order. Where we also publish product descriptions, photographs, ingredient, allergen, or nutrition information on the Site, we make reasonable efforts to keep it accurate, but the packaging accompanying your order is the authoritative source. Product images and descriptions are provided for informational purposes and may vary from the actual product.
Certain products may be available only for a limited time or while supplies last.
We reserve the right to discontinue products, change menus, limit quantities, or modify product offerings at any time.
3. Food Safety, Storage, and Preparation
Beehive Meals products are prepared and shipped for customers to store and prepare at home.
Depending on the product, meals may contain raw meat or other ingredients that require cooking before consumption.
You are responsible for:

Following the storage instructions provided with your order

Keeping products frozen or refrigerated as instructed

Following applicable thawing instructions

Following cooking and preparation instructions

Using appropriate food-safety practices when handling and preparing food

Reviewing ingredient and allergen information before consuming a product

Ensuring that products are prepared to appropriate food-safe temperatures

Using your own judgment regarding consumption if a product has been improperly stored, handled, or prepared
Product-specific ingredient, allergen, and nutrition information and preparation instructions are provided on the packaging included with your order. Thaw products in the refrigerator, not at room temperature.
If you have a food allergy, intolerance, dietary restriction, or other health-related concern, you should carefully review the applicable product information before purchasing or consuming a product.
4. Orders and Order Acceptance
When you place an order through the Site, you are making an offer to purchase the products in your order.
We reserve the right to accept, decline, cancel, or limit any order for any lawful reason, including:

Pricing or listing errors

Suspected fraud

Incorrect customer or payment information

Shipping limitations

Order quantity limitations

Violations of these Terms

Other circumstances affecting our ability to fulfill the order
If we cancel an order after payment has been processed, we will refund the applicable amount to the original payment method or otherwise provide the remedy required by applicable law.
An order confirmation does not necessarily mean that your order has been accepted or that it will be fulfilled. Your order is subject to our acceptance and availability of the products ordered.
5. Pricing and Payment
Prices displayed on the Site are subject to change without notice.
The price charged for an order will generally be the price displayed at the time the order is placed, except in the case of an obvious pricing or listing error.
You are responsible for providing accurate billing and payment information.
By providing payment information, you represent that you are authorized to use the applicable payment method.
We may use third-party payment processors to process transactions. Your payment information may be collected and processed directly by those providers in accordance with their own terms and privacy policies.
Applicable taxes, shipping charges, and any other fees will be displayed before you are asked to confirm your order.
6. Subscriptions and Recurring Orders
Beehive Meals may offer products through subscription or recurring-order programs.
When you purchase a subscription, you authorize Beehive Meals and its applicable payment or subscription service providers to charge your selected payment method on a recurring basis according to the subscription terms presented to you at the time of purchase.
Before completing a subscription purchase, the Site will provide applicable information about the recurring nature of the purchase, including the applicable frequency and price.
Before you are asked to confirm your billing information, we will disclose that your subscription renews automatically, the amount or range of the recurring charge, and how often it will be charged. We will obtain your separate affirmative consent to the automatic renewal terms, and after your purchase we will send you an acknowledgment you can retain that includes the automatic renewal terms, our cancellation policy, and how to cancel.
Subscription Renewal
Unless otherwise stated at checkout or in the applicable subscription terms, subscriptions automatically renew according to the subscription frequency selected at the time of purchase.
Your subscription may continue until you cancel it.
Subscription Pricing
Subscription pricing, discounts, products, menus, and other subscription terms may change from time to time.
Where required by applicable law, we will provide notice of changes to recurring charges or other material subscription terms.

Depending on the subscription program, you may be able to:

The specific options available to you will be displayed in your account or subscription-management portal.
Cancellation
You may cancel online, at any time, through your customer account — you do not need to call or email us to cancel. You may also cancel by contacting our customer service team.
Cancellation of a subscription generally applies to future orders and does not automatically cancel an order that has already been processed or fulfilled.
Your next bill date is shown in your account under Manage Subscriptions. To prevent an upcoming recurring order, you must cancel, skip, or modify your subscription no later than 11:59 p.m. Mountain Time on the day before your bill date. Once a subscription order has billed, it cannot be canceled through your account; you may contact customer service and we will make reasonable efforts to stop the order, but we cannot guarantee cancellation once an order has entered fulfillment.
Failed Payments
If a recurring payment fails, we or our service providers may attempt to process the payment again or contact you to update your payment information.
We may suspend or cancel a subscription if payment cannot be successfully processed.
Subscription Notices
We will provide any renewal, cancellation, or other notices required by applicable federal or state law.
For additional subscription-specific information, see our applicable subscription terms and the disclosures presented during checkout.
7. Shipping and Delivery
We currently ship eligible products to all 50 states.
Our shipping practices, processing times, delivery expectations, shipping carriers, packaging, dry ice, shipping claims, and other delivery requirements are described in our Shipping Policy.
By placing an order, you acknowledge that frozen food products require appropriate handling after delivery.
Customers are responsible for providing an accurate and complete shipping address.
We are not responsible for delays or delivery problems resulting from an incorrect or incomplete address provided by the customer.
Once an order has been shipped, delivery timing may be affected by carrier delays, weather, holidays, service disruptions, rural delivery schedules, or other circumstances outside our reasonable control.
If your order arrives damaged, contains missing items, or otherwise has a delivery issue, please follow the claim procedures in our Shipping Policy.
8. Order Changes and Cancellations
We understand that plans change. However, because our products are perishable and prepared for shipment, there may be a limited window during which an order can be changed or canceled.
We cannot guarantee that an order can be changed or canceled after it has been processed or fulfilled.
Once an order has shipped, we generally cannot cancel or modify the order.

9. Refunds and Damaged Products
Our refund and replacement practices are described in our Refund Policy and Shipping Policy.
Because our products are perishable and shipped frozen, we do not generally accept ordinary product returns.
If you receive a damaged, incorrect, missing, or otherwise compromised order, please contact us or submit a claim according to the procedures and timeframes provided in our applicable policies.
Nothing in these Terms limits any rights or remedies that cannot lawfully be limited under applicable law.
10. Gift Cards
Beehive Meals may offer gift cards or other stored-value products.
Gift cards may be subject to additional terms presented at the time of purchase.
Gift cards may be redeemed only for eligible purchases through the methods specified by Beehive.
Gift cards are not redeemable for cash except where required by applicable law.
Gift cards purchased from Beehive Meals do not expire, and we do not charge dormancy, inactivity, or service fees on gift cards. If you are a California resident and your gift card has a remaining balance of less than $15, you may request redemption of that balance in cash by contacting our customer service team.
We are not responsible for lost, stolen, or unauthorized use of gift cards, except where required by law.
11. Promotions and Discount Codes
From time to time, Beehive Meals may offer promotions, discounts, giveaways, referral offers, or other special offers.
Each promotion may have additional terms and eligibility requirements.
Unless expressly stated otherwise:

Promotional offers are subject to their stated expiration dates

Promotions may be limited to certain products or customers

Promotions may not be combined with other offers

Discount codes may be limited to one use per customer or household

Promotional offers may not be transferred or resold

Beehive may correct typographical, pricing, or promotional errors
If specific promotional terms conflict with these Terms, the specific promotional terms will control for that promotion.
12. Fundraising and Special Programs
Beehive Meals may offer fundraising programs, partnerships, challenges, discounts, referral programs, and other special programs.
These programs may have additional terms, eligibility requirements, deadlines, or restrictions.
If a program has separate terms, those terms will apply to participation in that program.
13. Reviews, Photos, Testimonials, and Other Content
You may have opportunities to submit reviews, photographs, videos, testimonials, comments, feedback, or other content to Beehive Meals (“User Content”).
You retain ownership of User Content that you submit, subject to the rights you grant below.
By submitting User Content, you grant Beehive Meals a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, display, distribute, and otherwise use the User Content for purposes including operating, promoting, marketing, and improving Beehive Meals and its products.
You represent that:

You own or have the necessary rights to submit the User Content

Your submission does not infringe another person’s rights

You have obtained appropriate permission from any identifiable person appearing in the content where required

The content is accurate to the best of your knowledge

The content does not violate applicable law
If we provide you with a free product, discount, or other compensation in exchange for a review or testimonial, you agree to disclose that relationship clearly and conspicuously in the content you post, as required by the Federal Trade Commission’s Endorsement Guides.
We may remove or decline to publish User Content at our discretion.
Nothing in this section requires Beehive Meals to use or publish any User Content.
14. Intellectual Property
The Site and its contents, including text, graphics, photographs, videos, logos, trademarks, product names, recipes, designs, software, and other materials, are owned by or licensed to Beehive Meals and are protected by applicable intellectual property laws.
The Beehive Meals name, logos, trademarks, and other brand elements may not be used without our prior written permission.
You may access and use the Site for your personal, non-commercial use.
You may not reproduce, distribute, modify, publicly display, sell, license, create derivative works from, or otherwise exploit our content without our prior written permission, except as permitted by applicable law.
15. Third-Party Services and Links
The Site may use or provide access to third-party services, applications, websites, payment processors, subscription platforms, shipping providers, social media services, analytics providers, or other third-party technologies.
Third-party services are subject to their own terms and privacy policies.
We are not responsible for the content, policies, availability, security, or practices of third-party websites or services that we do not control.
16. Privacy
Our collection and use of personal information is governed by our Privacy Policy.
Our Notice at Collection provides additional information about the categories of personal information we collect, how we use that information, and applicable privacy choices.
If you are located in a jurisdiction that provides additional privacy rights, those rights are described in our Privacy Policy.
17. Prohibited Uses
In addition to other restrictions described in these Terms, you may not use the Site or our products for any unlawful or prohibited purpose.
You may not:

Interfere with the operation of the Site

Introduce malware or other harmful code

Scrape or collect Site data using unauthorized automated means

Impersonate another person or entity

Attempt to obtain products through unauthorized means

Use the Site to infringe intellectual property or other rights

Attempt to gain unauthorized access to another person’s account
18. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Site and certain Site-related services are provided on an “as is” and “as available” basis.
We do not warrant that:

The Site will always be available or uninterrupted

The Site will be free of errors

Information on the Site will always be complete, current, or accurate

The Site will be free from viruses or other harmful components

Third-party services will always be available or error-free
Product-specific warranties, guarantees, or representations that cannot legally be disclaimed are not affected by this section.
Nothing in these Terms excludes or limits any warranty or consumer protection right that cannot lawfully be excluded or limited.
19. Limitation of Liability
To the maximum extent permitted by applicable law, Beehive Meals and its affiliates, officers, directors, employees, agents, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of the Site, your purchase or use of our products, or these Terms.
To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to these Terms, the Site, or a purchase will not exceed the amount you paid to Beehive Meals for the product or service giving rise to the claim during the applicable period preceding the event giving rise to the claim.
These limitations do not apply to liability that cannot legally be limited or excluded, including liability for personal injury caused by our products.
20. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Beehive Meals and its affiliates, officers, directors, employees, agents, contractors, and service providers from claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of:

This obligation does not require you to indemnify Beehive for claims arising from Beehive Meals’ own conduct to the extent prohibited by applicable law.
21. Dispute Resolution
A. Agreement to Arbitrate
By accessing or using the Beehive Meals website, placing an order, purchasing our products or services, or otherwise interacting with Beehive Meals, you and Beehive Meals agree that any controversy, claim, action, or dispute between you and Beehive Meals arising out of or relating to these Terms, your purchase or use of our products or services, your use of our website, or any alleged violation of federal, state, or local law (collectively, a “Claim”) will be resolved through binding individual arbitration rather than in court, except as expressly provided below.
Arbitration is a form of dispute resolution in which a neutral third party, called an arbitrator, resolves a dispute and issues a binding decision instead of the dispute being decided by a judge or jury in court.
Unless otherwise required by applicable law, the arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules and Mediation Procedures. The AAA Consumer Arbitration Rules are available through the AAA’s website. AAA Consumer Arbitration Rules
The arbitration will be conducted before a single arbitrator. The arbitrator may award any relief that would otherwise be available to you or Beehive Meals under applicable law, but only to the extent that such relief is available in an individual action.
The arbitration will be governed by the Federal Arbitration Act (“FAA”). To the extent state law applies to the arbitration agreement, the laws of the State of Utah will apply, without regard to conflict-of-law principles, except to the extent prohibited or overridden by applicable federal or state law.
B. Arbitration Procedures
Unless otherwise required by applicable law or the applicable AAA rules, arbitration proceedings will take place in Weber County, Utah, or remotely by telephone, video conference, or submission of documents, as determined by the parties or the arbitrator.
The parties agree that the arbitration should be conducted in a manner reasonably convenient for the consumer and consistent with the AAA Consumer Arbitration Rules and applicable law.
The arbitrator, and not a court, will have the authority to determine disputes concerning the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this arbitration agreement is void or voidable, except that disputes concerning the enforceability of the class action waiver below will be determined by a court as provided in Section 21(D).
The arbitration will be administered in accordance with the AAA's applicable rules and fee schedule. Nothing in these Terms is intended to require you to pay arbitration fees or costs in excess of what is permitted under applicable law or the applicable AAA rules.
C. Right to Opt Out
You may opt out of this agreement to arbitrate by providing written notice to Beehive Meals within thirty (30) days after the date you first purchase a product or service from Beehive Meals.
To opt out, you must send a written notice that includes your full name, mailing address, and a clear statement that you do not wish to resolve disputes through binding arbitration.
Your opt-out notice must be sent to the contact information provided in the “Contact Us” section of these Terms. You are responsible for ensuring that your opt-out notice is received by Beehive Meals within the thirty (30)-day period.
Opting out of arbitration will not affect any other provision of these Terms or your relationship with Beehive Meals.
D. Class Action Waiver
To the fullest extent permitted by applicable law, you and Beehive Meals agree that any Claim may be brought only in your individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
Unless both you and Beehive Meals expressly agree otherwise in writing, the arbitrator may not consolidate the claims of more than one person or preside over any form of class, collective, consolidated, or representative proceeding.
If a court of competent jurisdiction determines that the class action waiver in this Section is unenforceable with respect to a particular Claim or portion of a Claim, that Claim or portion of the Claim will be severed from the arbitration agreement and may proceed in court to the extent required by applicable law. The remaining provisions of this Section will remain in effect to the fullest extent permitted by law.
E. Exceptions to Arbitration
Notwithstanding the foregoing, nothing in these Terms prevents you or Beehive Meals from:
Bringing an individual action in small claims court if the Claim qualifies for that court and the action remains solely on an individual basis;
Seeking temporary, preliminary, or injunctive relief from a court when permitted by applicable law; or
Pursuing any other Claim or remedy that applicable law does not permit the parties to require to be arbitrated.
Where permitted by law, bringing a claim in small claims court instead of arbitration will not constitute a waiver of the parties' agreement to arbitrate other Claims.
F. Severability
If any portion of this Section 21 is determined to be unenforceable, the remaining portions will remain in effect to the fullest extent permitted by law, except where applicable law requires the entire arbitration agreement to be invalidated.
22. Governing Law
These Terms and any dispute arising from them will be governed by the laws of the State of Utah, without regard to conflict-of-law principles, and the state and federal courts located in Weber County, Utah will have exclusive jurisdiction, except where applicable consumer-protection law provides otherwise.
23. Termination
We may suspend or terminate your access to the Site or your account if you violate these Terms, engage in fraudulent or abusive activity, or for other lawful reasons.
Termination will not affect rights or obligations that arose before termination.
Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, User Content, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.
24. Changes to These Terms
We may update these Terms from time to time.
When we make changes, we will update the “Last Updated” date at the top of the Terms.
If we make material changes, we may provide additional notice where required by applicable law.
Where required by applicable law, we will provide you with direct notice of material changes and obtain your agreement to the updated Terms. Otherwise, your continued use of the Site after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
25. General Provisions
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
Our failure to enforce a provision of these Terms does not constitute a waiver of our right to enforce that provision later.
These Terms, together with the policies and terms expressly incorporated into them, constitute the agreement between you and Beehive Meals regarding your use of the Site and purchase of products, except where a separate written agreement applies.
You may not assign your rights or obligations under these Terms without our prior written consent.
We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or other business transaction.
